1. About Vistar Venture

Vistar Venture is a B2B trading house specialised in the wholesale distribution of consumer electronics, small domestic appliances, audio equipment, and home technology across European markets. We are operated by Vento Camarada Unipessoal Lda, a company incorporated under Portuguese law with registered offices at Campo Grande, 28, 7E, Lisboa, Portugal (NIF: PT518572617).

All trade relationships, contracts, and transactions are conducted on a strictly business-to-business (B2B) basis. We do not sell to consumers.

2. Website Use

The Vistar Venture website is provided for informational and commercial B2B purposes. By using this website you agree that:

• You are accessing the site on behalf of a registered business entity, not as a private consumer
• You will not use the site for any unlawful purpose or in any way that could damage, disable, or impair the site

Submission of a trade partner application does not guarantee approval or access to pricing and product availability. Vistar Venture reserves the right to:

• Request additional verification of your business identity and VAT registration
• Revoke trade partner status at any time if trading terms are breached
• Modify pricing, availability, and trading terms at any time

4. Trading Terms (B2B)

The following terms apply to all B2B transactions with Vistar Venture:

• Payment: T/T (bank transfer) in advance for new accounts. Net 30 available for verified partners with established trading history
• Currency: EUR primary. GBP accepted for UK partners. All invoices issued in EUR
• Minimum order: Minimum invoice value €500. Volume discounts available from €5,000+
• Incoterms: CIF (Cost, Insurance, Freight) standard. EXW Barcelona available on request
• Delivery: EU-wide from Barcelona, Spain. Standard transit 2–5 business days. Express available
• Documentation: Commercial invoice, packing list, and CMR/Bill of Lading provided on every shipment. Certificate of Origin on request

5. Returns & Disputes

• Returns are accepted within 14 days for defective goods only
• Goods must be unused and in original packaging
• Pre-authorisation from Vistar Venture is required before returning any goods
• Claims for damaged or incorrect goods must be submitted in writing within 48 hours of receipt
• Vistar Venture is not liable for delays caused by third-party logistics providers, customs, or force majeure events

6. Confidentiality

All pricing information, supplier identities, stock availability data, and commercial terms shared by Vistar Venture are strictly confidential. You agree not to disclose, share, or reproduce this information with any third party without our prior written consent. This obligation survives termination of any trading relationship.

7. Intellectual Property

All content on this website — including text, design, code, logos, and brand presentation — is the intellectual property of Vistar Venture / Vento Camarada Unipessoal Lda. Brand names and logos of third-party manufacturers listed on this site remain the property of their respective owners. Their inclusion indicates availability of those products for B2B trade and does not imply any formal brand partnership unless explicitly stated.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Vistar Venture shall not be liable for:

• Any indirect, incidental, or consequential loss arising from use of this website or any trade transaction
• Loss of profit, revenue, or business opportunity
• Accuracy of product descriptions or availability stated on the website (confirmed by formal quotation only)
• Delays or failures caused by third parties, logistics providers, or events beyond our control

Our total liability in connection with any transaction shall not exceed the value of that transaction.

9. Governing Law

These Terms of Service are governed by the laws of Portugal. Any disputes arising from or related to these terms or any trade relationship with Vistar Venture shall be subject to the exclusive jurisdiction of the courts of Lisboa, Portugal, unless otherwise agreed in writing.

10. Changes to These Terms

We reserve the right to update these Terms of Service at any time. The "Last updated" date reflects the most recent revision. Continued use of the website or ongoing trade relationship constitutes acceptance of the current terms.
